KARACHI: US food and flavour company McCormick & Company has announced its intention to acquire control of Unilever Pakistan Foods Limited, proposing to purchase at least 76.55% of the listed company’s issued share capital, directly or through affiliates.
The public announcement of intention dated October 21 identifies 4,876,294 shares and names Arif Habib Limited as manager to the offer. The shares are held by Conopco Inc. The transaction is connected to McCormick’s broader proposed combination with Unilever’s global food business.
A proposed change in control
The proposed acquisition is subject to regulatory and transaction conditions. A public offer to eligible shareholders is expected under Pakistan’s takeover rules, with details to be established through formal documentation.
Regulatory requirements
Applicable legal approvals, including competition-related review where required, must be addressed. The Competition Commission of Pakistan may have a role under the relevant framework.
Why the company matters
Unilever Pakistan Foods is an established listed participant in the packaged-food sector. Market reporting cited first-half 2026 net sales of approximately Rs25.26 billion and profit after tax of around Rs4.34 billion.
Strategic implications
McCormick markets spices, seasonings, sauces and other flavour products globally. The proposed acquisition would place a majority stake in the Pakistani food business under McCormick’s control.
What investors should watch
