ISLAMABAD: The Competition Commission of Pakistan has cleared Lotte Chemical Pakistan Limited’s proposed acquisition of Engro Corporation’s 56.19% shareholding in Engro Polymer & Chemicals Limited, advancing a transaction valued at approximately Rs19.62 billion.
The regulator approved the deal following a first-phase competition assessment under the Competition Act, 2010. The acquisition would transfer a controlling stake in one of Pakistan’s major chemical manufacturers and bring together businesses operating in different parts of the petrochemical supply chain.
The companies announced their share purchase agreement on September 1, describing a consideration of approximately Rs19.7 billion. The latest competition clearance addresses a major regulatory requirement for the planned change in ownership.
What the companies produce
Engro Polymer & Chemicals operates an integrated chlor-vinyl complex and supplies products including polyvinyl chloride resin, caustic soda and hydrogen peroxide. PVC is widely used in pipes, fittings, building materials and other industrial applications, making the business relevant to downstream manufacturing and construction supply chains.
Lotte Chemical Pakistan has been associated with the production of purified terephthalic acid, an important input for polyester and polyethylene terephthalate products. The proposed acquisition would diversify the company’s industrial portfolio beyond its existing product base.
Engro has held the polymer business within its portfolio since 1997. The sale represents a significant ownership transition for an established Pakistani petrochemical producer.
Competition review and ownership change
The CCP’s first-phase approval followed an assessment of the transaction under Pakistan’s merger-control framework. Competition reviews examine whether a proposed combination could materially restrict competition in relevant markets.
The commission’s merger-order register lists the acquisition review with an order dated October 7, while the clearance was reported publicly on October 21. That distinction is relevant to the timing of the regulatory decision.
Lotte Chemical’s September announcement also described plans for a mandatory public tender offer to remaining Engro Polymer shareholders after completion of the acquisition, in accordance with applicable law. It outlined an intention to merge the businesses, subject to the necessary approvals.
Significance for Pakistan’s chemical industry
The transaction concerns companies supplying industrial inputs used by a wide range of manufacturers. Scale, investment in production and reliable availability of raw materials are important factors for firms buying chemical products locally.
For shareholders, the acquisition changes the ownership structure of Engro Polymer and creates a pathway for further corporate restructuring. For industrial customers, the operational direction of the combined business will determine how the new ownership is reflected in product development and supply arrangements.
The competition clearance moves the announced transaction forward, with completion and subsequent corporate steps governed by the purchase agreement and applicable regulatory requirements.
